Likeness Rights Release and Consent

I. Parties and Scope

This Likeness Rights Release and Consent ("Release") is entered into between you ("Participant," "you," or "your") and TheKickWall LLC and CaseysKickClinic LLC (collectively, "The Kickwall," "we," "us," or "our") in connection with your use of The Kickwall Skills Club platform and related services (the "Platform").

This Release applies to your name, voice, photograph, video likeness, image, performance, and any other identifiable attributes or personal characteristics that appear in content you submit, create, or are depicted in on or through the Platform ("Likeness").

II. Grant of Rights

You grant The Kickwall a perpetual, worldwide, irrevocable, non-exclusive, royalty-free, sublicensable license to use, reproduce, display, publish, distribute, transmit, stream, edit, adapt, crop, combine with other materials, and otherwise exploit your Likeness in any media now known or later developed, for purposes including but not limited to:

• Operating, promoting, and improving the Platform and its features
• Displaying your videos, challenges, coaching tips, and community content
• Marketing and advertising The Kickwall on the Platform, our website, email, and social media (including Instagram, TikTok, Facebook, Twitter/X, and YouTube)
• Training demonstrations, leaderboards, newsletters, and member communications
• Creating compilations, highlights, and promotional materials featuring Platform content

Where reasonably practicable, we will provide attribution to you as the creator when sharing your content on social media, including tagging accounts you provide in your profile.

III. User Content and Third Parties

If your content includes the Likeness of any other person (including teammates, friends, or family), you represent and warrant that:

• You have obtained all necessary permissions, releases, and consents from each depicted individual (and, for minors, their parent or legal guardian)
• Each individual has been informed of how their Likeness may be used on the Platform and in related marketing
• Your submission does not violate any third party's privacy, publicity, or intellectual property rights

You agree to indemnify and hold harmless The Kickwall from any claims arising from your failure to obtain required consents for third parties appearing in your content.

IV. Minors and Parental Consent

If you are under 18 years of age, a parent or legal guardian must read and accept this Release on your behalf. By accepting for a minor, the parent or guardian represents that they are the minor's parent or legal guardian and have authority to grant the rights described herein.

Parents and guardians may review, request correction of, or request deletion of a minor's personal information and Likeness used on the Platform by contacting thekickwall@gmail.com, subject to our Privacy Policy and applicable law (including COPPA).

V. Consent to Use Likeness

You understand and agree that The Kickwall may use your Likeness without additional compensation, except as may be required by applicable law. You waive any right to inspect or approve finished materials in which your Likeness appears, to the fullest extent permitted by law.

You consent to the use of your Likeness in connection with automated tools, including artificial intelligence, for content moderation, video processing, training plan features, thumbnails, and platform functionality. You understand that technical processing may alter the appearance of video content without changing the underlying consent granted herein.

You acknowledge that content posted on the Platform may be viewable by other members and the public, depending on platform settings and features you use.

VI. Governing Law

This Release shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law principles. Any dispute arising out of or relating to this Release shall be brought in the state or federal courts located in South Carolina, and you consent to the personal jurisdiction of such courts.

VII. Acknowledgment

You have read this Release, understand its terms, and voluntarily agree to be bound by them. You understand that you are granting broad rights to use your Likeness and that you may be waiving substantial legal rights.

If you do not agree to this Release, you may not submit video or other content that includes your Likeness to the Platform.

If you are under 18, a parent or guardian must accept this Release on your behalf.
